POSITION SUMMARY:


Currently seeking to recruit a Senior Corporate Law Clerk to assume the role of Assistant Corporate Secretary at its Mississauga office. The ideal candidate must have a Law Clerk designation from a recognized institution and a minimum of seven years’ experience within the corporate services department of a major law firm or Corporate Secretary background in a publicly traded company.

 

RESPONSIBILITIES:

  • Maintenance and control of the minute books of Maple Leaf Foods Inc. (“MLF”) and its global subsidiaries;
  • Monitoring and completion of all government-required filings to maintain the status of the companies and their registrations;
  • Registering, maintaining and updating all MLF and subsidiary business names and domain names;
  • Conducting, managing and reporting all SEDI, TSX SecureFile and SEDAR regulatory filings of MLF;
  • Assisting the Corporate Secretary by drafting annual disclosure documents, working with the Corporate Secretary through iterations of the documents to filing/mailing and maintaining records of the supporting information; liaising with the Company’s transfer agent to effect shareholder mailings; attending to approval and filing on SEDAR of the disclosure documents;
  • Acting as Secretary for Maple Leaf Centre for Action on Food Security, a registered Canadian charity by maintaining the entity’s records, attending board meetings and preparing minutes of meetings for review by the Chair and the Leader;
  •  Assisting the Finance Department with annual and quarterly disclosure document filings including preparation, approval and filing on SEDAR of the CEO and CFO certifications and the quarterly disclosure documents; liaising with the Company’s transfer agent to effect shareholder mailings;
  • Assisting the Corporate Secretary by preparing first and successive draft minutes of Board and Committee meetings from meeting materials and the Corporate Secretary’s notes and shepherding the draft minutes through the minute approval process to completion, approval and signature;
  • Tracking the status of all litigation matters and reporting to relevant parties on the same; requesting updates on outstanding matters and compiling responses; requesting annual updates on outstanding matters from Company counsels; meeting with auditors and Company personnel on a quarterly basis including year-end legal audit enquiries;
  • Organizing venue, coordinating security and drafting Chairman’s script and remarks for annual shareholders’ meetings of MLF; preparing the Secretary’s binder for use at the meetings; attending the meetings to ensure that legal procedures are followed; preparing required voting report news release and SEDAR filings; drafting minutes of the meetings;
  • Liaising with transfer agent on all securities related matters;
  • Responding to internal and external business queries;
  • Researching corporate, securities and litigation matters and respond to internal and external queries;
  • Preparing semi-annual summary of corporate and securities law updates for the Corporate Secretary;
  • Managing and maintaining the security documents filing system for the Corporate Secretary’s department;
  • Managing and maintaining the GEMS corporate entity database;
  • Using the Diligent board portal to obtain directors’ signature of resolutions in writing in lieu of meetings;
  • Maintaining calendars, databases, procedural guides and document templates;
  • Providing efficient, well-organized and cost-effective support to the Corporate Secretary and the Company.
 
 

EDUCATION, EXPERIENCE & COMPETENCY REQUIREMENTS:

  • Law Clerk designation with a minimum of seven years’ experience
  • Experience with public company regulatory filings
  • Excellent written and oral communication skills
  • Proficiency with Microsoft Office (Word, Excel and Outlook)
  • Experience with corporate entity management database required (GEMS experience an asset)
  • Experience with Diligent board portal an asset
  • High level of attention to detail and accuracy
  • Demonstrate a strong service orientation
  • Ability to assess, prioritize and address important issues under the pressure of tight deadlines and last-minute changes
  • Experience in supervising staff
